- Notify Lushes immediately of any changes to your legal entity, bank account, GSTIN, or contact information.
- Ensure all your licenses and permits remain valid and current.
Failure to maintain updated and valid registration information may lead to account suspension or termination.
2. Commission Structure: A Transparent Partnership Model
Lushes operates on a transparent commission-based model, designed to align our success with yours. We charge a commission (also known as a referral fee) on successful sales facilitated through our Platform. This commission covers our operational costs, marketing efforts, technology infrastructure, and customer support for transactions.
2.1. Commission Calculation:
- Referral Fee: A percentage of the selling price of the product (excluding shipping charges collected from the customer, but including product GST), which varies by product category.
- Fixed Closing Fee (if applicable): A small, fixed fee per unit sold, which may vary based on the item’s price range and the fulfillment channel used (e.g., self-ship vs. Lushes Fulfillment).
- Payment Gateway Fee: A small percentage fee charged by the payment gateway for processing the transaction. Lushes may absorb a portion of this, or it may be passed on partially or fully to the seller, clearly reflected in your payment statements.
- Shipping Fee (if Lushes-managed logistics): If Lushes provides fulfillment or shipping services, a shipping fee will be charged based on product weight, dimensions, and shipping distance. If you use self-ship, this fee is not applicable from Lushes.
- GST: All commissions and fees charged by Lushes will be subject to applicable Goods and Services Tax (GST) as per Indian law.
Formula for Seller Payout (Illustrative): Seller Payout = (Product Selling Price + Shipping Charged from Customer (if any)) – (Referral Fee + Fixed Closing Fee + Payment Gateway Fee + Lushes Shipping Fee (if applicable) + Applicable GST on all Lushes Fees + Other charges/penalties (if any))
2.2. Lushes Commission Rate Card (Illustrative and Subject to Specific Product Categories):

- Remittance Method: Payouts will be directly remitted to your registered bank account via secure electronic transfer (NEFT/RTGS).

Effective and timely order fulfillment is paramount to customer satisfaction and the reputation of Lushes. Sellers are expected to adhere to high standards of operational efficiency and quality control.

- Standard Dispatch Window: Sellers are expected to dispatch orders within 1-2 business days from the time the order is confirmed by Lushes. This ensures prompt service to customers.
- Peak Season Adjustments: During peak seasons or unforeseen circumstances, if dispatch times are expected to be longer, sellers must update their dispatch settings on the Seller Dashboard and communicate any delays proactively to customers through Lushes’s platform tools.
- Order Confirmation: You will receive immediate notification of new orders via your Seller Dashboard and email.
- Tracking Updates: You must provide accurate tracking information promptly upon dispatch. Regular updates on the shipping status are critical for customer transparency.
4.2. Inventory Management:
- Accurate Stock Levels: You are responsible for maintaining accurate and up-to-date inventory levels on the Lushes Platform. Selling out-of-stock items leads to order cancellations and negative customer experiences.
- Stockouts: Frequent stockouts or cancellations due to unavailable inventory will negatively impact your seller performance metrics and may lead to penalties.
- Batch Management: For products with expiry dates, you must manage inventory on a First-In, First-Out (FIFO) basis and ensure products shipped have sufficient remaining shelf life.
4.3. Packaging Standards:
- Secure Packaging: All items must be packed securely and appropriately to prevent damage during transit. Use suitable packaging materials (e.g., bubble wrap, void fill, sturdy boxes) to protect the product’s integrity.

- Product Quality: Products shipped must precisely match the description and images on the listing. They must be new (unless explicitly stated as refurbished or used), free from defects, fully functional, and meet all stated quality standards.
- Pre-shipment Inspection: Sellers are responsible for conducting a thorough quality check of each item before dispatch to ensure it is free from defects and in perfect condition.
- Authenticity: You warrant that all products sold are genuine, authentic, and not counterfeit or infringing on any intellectual property rights.
4.5. Shipping Method and Partner Adherence:
- Lushes Logistics (Recommended): If you opt for Lushes’s integrated logistics solution, you must adhere to the pickup schedules and packaging guidelines provided by Lushes’s shipping partners.
- Self-Ship (Where Permitted): If you choose to self-ship, you are responsible for selecting a reputable courier service, ensuring timely delivery, and providing valid tracking information. The shipping speed and quality must be comparable to Lushes’s standard delivery expectations.
- No Diversion: You must not attempt to divert customers to your own website or other sales channels during the fulfillment process (e.g., by including promotional materials with external links in packages).
4.6. Returns and Refunds Processing:
- Adherence to Lushes Policy: Sellers must fully comply with Lushes’s Return & Refund Policy. This includes accepting eligible returns, processing refunds promptly once the returned item is inspected, and adhering to our timelines.
- Return Inspection: You are responsible for inspecting returned items according to our guidelines. Any disputes regarding the condition of a returned item must be promptly communicated to Lushes’s Seller Support team with supporting evidence (e.g., photos, videos).
- Customer Communication: While Lushes handles primary customer communication regarding returns, sellers must be responsive to Lushes’s requests for information or action related to returns.

5. Penalties for Non-Compliance: Ensuring Accountability
Lushes maintains a fair and equitable marketplace through strict adherence to these policies. Non-compliance with any part of this Seller Policy can lead to a range of penalties, designed to maintain service quality and protect both customers and the Lushes ecosystem. The severity of the penalty will depend on the nature, frequency, and impact of the non-compliance.
5.1. Performance Monitoring and Evaluation: Lushes continuously monitors seller performance based on key metrics, including but not limited to:

5.2. Tiered Penalty Structure: Lushes employs a tiered system for penalties, designed to be proportionate and educational, escalating with the severity and recurrence of violations.
- Tier 1: Warnings and Performance Improvement Plans:
- Initial Notification: For minor or first-time infractions (e.g., slightly delayed dispatch, minor listing inaccuracy), Lushes will issue a formal warning via the Seller Dashboard or email.
- Performance Improvement Plan (PIP): For persistent minor issues or moderate non-compliance (e.g., consistently high late dispatch rate), Lushes may place the seller on a PIP. This involves specific targets and a timeframe for improvement. Lushes will provide resources and support to help the seller rectify the issues.
- Temporary Listing Demotion/Reduced Visibility: Listings from sellers on a PIP may temporarily experience reduced visibility in search results or category Browse.
- Tier 2: Financial Penalties and Service Restrictions:
- Monetary Fines: For repeated non-compliance, failure to meet PIP targets, or moderate-to-severe violations (e.g., selling prohibited items, significant product quality issues), Lushes may impose monetary fines. These fines will be automatically deducted from your upcoming payouts. Specific fine amounts will be outlined in the Seller Agreement and documented in the Seller Dashboard for various types of non-compliance.
- Example (Illustrative):
- Late Dispatch: INR 50-100 per order after grace period.
- Seller-Initiated Cancellation: INR 100-200 per order.
- Incorrect/Damaged Item (Customer Return): Fine for return shipping + INR 150-300.
- Listing Prohibited Item: INR 500-1000 per violation.
- Example (Illustrative):
- Temporary Account Suspension: For serious or recurring non-compliance, Lushes may temporarily suspend your selling privileges. During suspension, you will be unable to list new products or process new orders. Existing orders must still be fulfilled.
- Restriction of Services: Lushes may restrict access to certain services (e.g., Lushes’s integrated logistics, marketing promotions) for non-compliant sellers.
- Holding of Payouts: In cases of severe non-compliance, suspected fraud, or ongoing investigations, Lushes reserves the right to temporarily hold seller payouts until the issue is resolved.
- Tier 3: Permanent Account Termination and Legal Action:
- Permanent Account Termination: For severe or repeated violations, persistent failure to comply with policies, engagement in fraudulent activity, selling counterfeit/illegal goods, or causing significant harm to Lushes’s reputation or customers, Lushes will permanently terminate your seller account. This means you will no longer be able to sell on the Platform.
- Blacklisting: In cases of severe fraud or legal violations, the seller’s name/entity may be blacklisted from re-registering on Lushes.
- Legal Action: Lushes reserves the right to pursue all available legal remedies, including but not limited to, filing civil lawsuits for damages, injunctions, or reporting illegal activities to relevant law enforcement agencies, in addition to account termination. This applies particularly to cases of intellectual property infringement, sale of illegal items, or large-scale fraud.
- Forfeiture of Funds: In cases of proven fraud or severe illegal activity, Lushes may, in accordance with applicable law, forfeit any outstanding payouts or balances owed to the seller to cover damages, fines, or legal costs.
5.3. Dispute Resolution for Penalties: If you believe a penalty has been unfairly imposed, you may appeal the decision within [e.g., 7 days] of notification by contacting Lushes Seller Support. You must provide clear evidence and justification for your appeal. Lushes’s decision on the appeal will be final and binding.
5.4. Compliance with Indian Laws and Regulations: Sellers are reminded that adherence to this Policy does not exempt them from their obligations under Indian laws, including but not limited to:
- The Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020.
- The Legal Metrology (Packaged Commodities) Rules, 2011.
- The Information Technology Act, 2000.
- The Goods and Services Tax (GST) laws.
- Intellectual Property laws (Copyright Act, Trademark Act).
